  • Ministry of Energy approved composition of new Supervisory Board of NPC Ukrenergo

    By its Order №327 of December 9, 2021, the Ministry of Energy approved the composition of the new Supervisory Board of PrJSC NPC Ukrenergo.

    The Supervisory Board of the Company consists of four independent members and three representatives of the state. All candidates appointed to the positions of members of the Supervisory Board are highly qualified specialists with extensive experience in energy, public administration, and energy diplomacy.

    Independent members of the Supervisory Board – ex-top managers of major European transmission system operators (TSOs), including two former presidents of the European energy association ENTSO-E:

    Daniel Dobbeni — first President of the European Network of Transmission System Operators, ENTSO-E (2008), former President of the German transmission system operator 50Hertz GmbH (2010-2015). During his tenure, he worked with RTE on the establishment of Coreso, the first cross-border electricity monitoring centre, and Belpex, the Belgian Power Exchange. He also held the position of CEO of the Belgian and German TSO Elia Group (2003-2012). He served as Vice President and President of GO15, an association of largest electricity grid and market operators that supply more than half of the world’s electricity demand. In 2006, he became Chairman of Synergrid, the Federation of Belgian Electricity and Gas Transmission and Distribution System Operators.

    Peder Ostermark Andreasen — from 2018 to 2021, he was an independent member of the Supervisory Board of NPC Ukrenergo and made a significant contribution to the implementation of the strategy of the Ukrainian TSO regarding the integration of the IPS of Ukraine into ENTSO-E. In June 2013, he was elected to the Board of Directors of ENTSO-E, and in 2015, he became President of ENTSO-E. He worked on improving the internal European energy market, implementing network codes and recommendations, as well as infrastructure development. From 2005 to 2018, he was CEO of the Danish TSO Energinet. He played a key role in shaping the company’s strategy based on Denmark’s broad political agreement regarding the abandonment of fossil fuels by 2050. He also held senior positions at TDC, a leading provider of communication solutions in Denmark.

    Dejan Ostojic, who has more than thirty-five years of diverse experience in the energy sector and infrastructure development in Europe, Central Asia, East and Southeast Asia, the Middle East, Latin America, and the United States. He worked as a representative of the World Bank Sector Programme in Ukraine (2004-2009) and in Austria (2016-2019). Currently, he oversees the World Bank’s energy programme in Ukraine and Eastern Europe. He was an Associate Fellow (Partner) and Regional Leader at Harza Engineering Company (USA, 1992-1998), Visiting Fulbright Fellow at Purdue University (USA, 1988-1990) and Associate Professor at the University of Belgrade (1983-1992).

    Roman Pionkowski, who has more than 25 years of experience in the power industry. He holds the position of the Chairman of the Audit Committe in the Polish Energy Certification Society (Polskie Towarzystvo Certyfikacji Energii). Since 2000, he was a member of the management board of electricity distribution companies in Plock, Lodz, and Gdansk. In 2007-2012, he was working in Energa Group (electricity production and trading), where he was involved in restructuring and investment projects, in particular, unbundling of the distribution system operator, and preparation for the construction of Ostroleka TPP, and later he became Chairman of the Management Board of Elektrownia Ostroleka SA. In 2013-2015, He was the Chairman of the Management Board of PSE Inwestycje SA, where he was involved in investments and control of investment projects of the Polish PSE SA. From 2006 to 2014, he was a member of the supervisory boards and management boards of Polish power companies, and in 2015, he was delegated to head the Management Board of Energa SA. In 2016-2017, he held the position of Vice President of ENERGA Wytwarzanie.

    The new Supervisory Board includes three state representatives:

    Yuriy Boyko — industry expert with 25 years of experience in management positions of private and public institutions in the energy sector of Ukraine. He has exceptional experience and deep understanding of financial and economic models of market functioning and interaction of its participants. He gained such experience while working as Deputy Minister of Energy and interim head of the Ministry of Energy in 2020-2021, as well as Deputy Director for Economics and Finance of SE Energorynok in 2014-2020 under the previous market model. In addition, Yuriy Boyko has significant experience working in distribution network companies mostly holding managerial positions related to the company’s operations.

    Yuriy Tokarskyi, who has extensive experience in international cooperation with external partners, international financial institutions and donors, inter alia, while working as an advisor to the Minister of Finance. He was the representative of the state in the Supervisory Board of NPC Ukrenergo from 2020 to 2021. Among the key cases are the development of cooperation with the Secretariat of the Energy Community in Vienna and the implementation of projects of economic, energy cooperation, and technical assistance. He worked in this area as Counselor-Envoy at the Embassy of Ukraine in the Republic of Austria. He also developed diplomatic initiatives to intensify political dialogue and cooperation in the economic and energy spheres between Ukraine and the countries of Central and Eastern Europe.

    Mykhailo Ilnytskyi — has more than 15 years of experience in the field of electricity, in particular, in the activities of distribution system operators, such as PJSC Prykarpattiaoblenergo and

    PJSC Sumyoblenergo leading mainly commercial activities of the companies under the previous market model. Since 2018, he has been heading PJSC Chernihivoblenergo during the transition to a new market model. In 2021, the company’s production processes were optimized and adapted to the new regulation model (RAB-regulation).

    NPC Ukrenergo welcomes new members of the Supervisory Board and thanks the Government for fruitful work on forming a new Supervisory Board.

    It is worth mentioning the previous composition of the Supervisory Board: Sevki Acuner (Chairman of the Supervisory Board), Luigi de Francisci, Olivier Appert, Peder Ostermark Andreasen, and Yuriy Tokarskyi as a state representative.

    On December 1-9, 2021, in accordance with Part 1 of Article 51 of the Law of Ukraine “On Joint Stock Companies” during the absence of the Supervisory Board, its powers were exercised by the General Meeting of shareholders of NPC Ukrenergo represented by the Ministry of Energy of Ukraine.

    According to the Order of the Ministry of Energy of Ukraine № 322 of December 7, 2021, “On some issues of the activities of the Supervisory Board of PrJSC National Power Company Ukrenergo”, from December 8, the powers of Andrii Nemyrovskyi and Maksym Yurkov as members of the Management Board of NPC Ukrenergo are terminated.

    NPC Ukrenergo expresses its sincere gratitude to the members of the previous Supervisory Board for their efforts to complete and improve the Company’s corporate governance reform, strategic development, integration into ENTSO-E, and significant contribution to its institutional and innovative progress in the process of transforming Ukrenergo into a key participant in the electricity market.
